LOCALLEA TERMS OF SERVICE

Welcome to Locallea, Inc. ("Locallea"). These Terms of Service ("Terms") govern your access to and use of our services, including payment infrastructure, logistics, localization, marketing, and other related services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Definitions

- "Client" refers to any individual or entity that engages Locallea for its Services.
- "Services" include payment infrastructure, logistics, localization, marketing, and consulting provided by Locallea.
- "Shared Company" means using Locallea's structure to operate in the target market without establishing a separate local entity.

2. Scope of Services

Locallea offers comprehensive services to help brands expand internationally, including:
- Payment and Tax Infrastructure
- Localization of content and marketing materials
- Logistics and supply chain management
- Marketing strategies and campaign execution
- Marketplace and Shopify store management
- Pop-up store services and brand ambassadorship
- Training, consulting, and analytical services

3. Payment Terms

- Payments must be made as agreed in the service contract.
- A 5% commission applies to sales up to USD 100,000; rates are negotiable beyond this.
- A minimum monthly fee applies if commission is below this amount.
- Payments should be made via credit card, and late payments incur a 5% monthly interest rate.

4. Client Responsibilities

Clients must provide accurate information, cover additional costs (e.g., advertising), and comply with all legal requirements related to their operations.

5. Confidentiality and Data Privacy

Both parties agree to maintain confidentiality of proprietary information and comply with applicable data protection laws, including CCPA and GDPR.

6. Termination

Either party may terminate the agreement with 30 days' written notice. Early termination may result in fees as per the service contract.

7. Limitation of Liability

Locallea is not liable for indirect, incidental, or consequential damages. Liability is limited to the amount paid for Services in the last 12 months.

8. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California. Disputes will be resolved through binding arbitration under AAA rules.

9. Amendments

Locallea reserves the right to modify these Terms. Continued use of Services constitutes acceptance of the updated Terms.
